Ungeachtet dessen sind die dogmatischen Grundlagen des Rechtsbruchtatbestands weiterhin ungeklärt.Sarah Frey-Gruber kommt zu dem Ergebnis, dass der Rechtsbruchtatbestand eine spezialgesetzliche Ausprägung von § 823 Abs. 2 BGB bzw. des allgemeinen quasinegatorischen Unterlassungsanspruchs darstellt. Auf dieser dogmatischen Basis lassen sich die zahlreichen Auslegungsfragen, die die wettbewerbsrechtliche Praxis immer wieder beschäftigen, sachgerecht lösen. Zugleich wirft diese dogmatische Einordnung die bislang kaum gestellte Frage auf, warum es des Rechtsbruchtatbestands überhaupt bedarf. Aus materiellrechtlicher Sicht ist der spezifisch wettbewerbsrechtliche Rechtsbruchtatbestand überflüssig. Auch die weitreichende Regelung der Aktivlegitimation, die insbesondere zu einer Klagebefugnis von Verbänden und Kammern führt, vermag den Rechtsbruchtatbestand nicht zu rechtfertigen. Letztlich findet der deutsche Rechtsbruchtatbestand auch in den meisten europäischen Rechtsordnungen keine Entsprechung. Im Ergebnis schlägt die Autorin eine Streichung des Rechtsbruchtatbestands vor. Sie leistet damit einen Beitrag zur Bekämpfung der im Wettbewerbsrecht anzutreffenden Überregulierung und zu einer Angleichung der europäischen Wettbewerbsrechtordnungen.

Daher sind bis zur Modifizierung der Normen gemäß der erarbeiteten Formulierungsvorschläge die dargestellten teleologischen Reduktionen vorzunehmen. Zum anderen bedarf es partiell einer analogen Anwendung der Vorschriften. Des Weiteren werden zahlreiche Möglichkeiten zur Formulierung und Ausgestaltung von AGBs für den Rückgriff in der Lieferkette, insbesondere zur Vornahme eines gleichwertigen Ausgleiches nach § 478 Abs. 4 Satz 1 BGB, aufgezeigt.

Der Schwerpunkt der Arbeit liegt sowohl in der theoretischen als auch empirischen Analyse dieses neuartigen konsumbasierten Modells sowie der daraus resultierenden neuartigen Spezifikation des stochastischen Diskontfaktors. Hierbei wird durch die empirische Analyse eine zentrale Erkenntnis zu Tage gebracht, wonach die Erklärungskraft des stochastischen Diskontfaktors im neuartigen konsumbasierten Modell, gegenüber der des stochastischen Diskontfaktors im konsumbasierten Standardmodell, als verbessert zu erachten ist. Dies bedeutet, dass es durch Verwendung der neuartigen Spezifikation des stochastischen Diskontfaktors möglich ist, das "Equity Premium Puzzle" zu verringern.

Da den Prämissen, die Otto Mayer zu seiner Ansicht führten, bis heute nur wenig Aufmerksamkeit geschenkt wurde, sucht Ralf Dewitz diesen Prämissen auf den Grund zu gehen.Er gelangt zu dem Ergebnis, daß Otto Mayer seine Auffassung auf seine sich gegenseitig bedingenden Begriffe vom Staat und von Methode im Recht gründete. Ralf Dewitz untersucht fernerhin, ob der Rechtswissenschaft, die jüngst aus der Annahme, daß Otto Mayer mit seiner Lehre vom öffentlich-rechtlichen Vertrage auch heute noch "irgendwie" Recht habe, eine Idee zur Bildung eines Systems der Verwaltungsvertragsdogmatik herleitet, in jener Annahme zuzustimmen ist. Ziel der Arbeit ist es, die aus der konzernrechtlichen Diskussion bei anderen Gesellschaftsformen gewonnenen Erkenntnisse, für das - nur unzureichend untersuchte - Recht der abhängigen KGaA nutzbar zu machen.Die Anwendung der besonderen konzernrechtlichen Regelungen der §§ 291 ff, 311 ff AktG auf die KGaA bildet - neben einer detaillierten Untersuchung der Gruppenbildungskontrolle bei der KGaA - einen Schwerpunkt der Arbeit. Der Autor kommt zu dem Schluss, dass sich die materielle Regelung des Rechts der KGaA als einer Mischung aus aktienrechtlichen und personengesellschaftsrechtlichen Elementen bei der Bewältigung ihrer abhängigkeitsbedingten Probleme fortsetzt. Folge hiervon ist insbesondere, dass die §§ 311 ff AktG auf die von einem Komplementär oder über eine Komplementärgesellschaft beherrschte KGaA keine Anwendung finden können.

In der vorliegenden Arbeit überprüft Andreas Dietz die behördliche Prozeßvertretung unter dem Blickwinkel des "Neuen Steuerungsmodells" auf die Möglichkeiten und die Grenzen ihrer verstärkten Gebührenfinanzierung.Im ersten Teil der Arbeit erläutert der Autor die Kostenerstattung nach geltendem Recht und das "Neue Steuerungsmodell". Dabei zeigt sich, daß das "Neue Steuerungsmodell" für die Prozeßvertretung unter mehreren Gesichtspunkten anwendbar gemacht werden kann: Mängel in der Aufbau- und Ablauforganisation können ebenso aufgedeckt werden, wie mittels Budgetierung Kosten-Nutzen-Vergleiche zwischen einer Eigen- und einer Fremdvertretung gezogen werden können. Eine Kundenorientierung kann dazu dienen, die Akzeptanz von Verwaltungsentscheidungen zu steigern und Prozesse zu vermeiden.Aus dieser Bestandsaufnahme entwickelt er im zweiten Teil ein Modell für eine neue Kostenerstattung, das zu einer einfachgesetzlichen Neuregelung des § 162 Abs. 2 S. 3 VwGO führt. Im Fall des Obsiegens der Behörde im Verwaltungsprozeß wird ihr eine Kostenerstattung nach Pauschsätzen zugestanden, um ihre Kosten abzudecken. Die Kalkulation der Pauschsätze orientiert sich an Durchschnittswerten, um den Anreiz für eine effiziente Prozeßführung zu erhöhen. Dieses Modell wird schließlich in seinen verfassungsrechtlichen Kontext gestellt und insbesondere seine Vereinbarkeit mit Art. 19 Abs. 4 GG überprüft und bejaht. Ein Textvorschlag für eine Änderung des § 162 Abs. 2 S. 3 VwGO rundet die Arbeit ab.

Bei der Wahl von Aufsichtsratsmitgliedern besteht eine Vielzahl von Anfechtungs- und Nichtigkeitsrisiken.
